Acceptance with Different or Additional Terms

A

CL: acceptance must contain the same terms of the offer (mirror-image rule)

UCC: even if the terms of acceptance do not contain the same terms as the offer, there is still an acceptance unless the “acceptance” is expressly condition on acceptance of different or additional terms. Further, if both parties are merchants, additional terms must become a part of the K unless there is an objection or the terms material alter the K.
