A

The term must be necessary to give the contract a business effect. If the contract makes sense without the term it can’t be implied.

A

C moored his ship at d’s wharf,they both knew that when tide went out the ship would be resting at the bottom of river. it then was damaged due to rocks.
HELD: implied fact that the riverbed would be safe for mooring.

What is the officious bystander test?

A

If another party was ther at the time the contract was being made and they suggested the term in question and both parties agreed to it then it is pressumed to be an implied term. Must be obvious both parties wouldve agreed to the term at the time contract was being made (Shirlaw v Southern Foundaries Ltd)
